1. Acceptance

These Terms of Service ("Terms") are a binding agreement between you (the "Customer") and Dealboard ("we," "our") governing your use of the Dealboard software-as-a-service product (the "Service"). By creating an account or otherwise accessing the Service you agree to these Terms. If you are accepting on behalf of a company, you represent that you have authority to bind that company.

2. The Service

Dealboard provides a hosted sales-pipeline tool that lets you record deals, organize them by stage, attach notes and files, and share access with your team. We grant you a non-exclusive, non-transferable, revocable right to use the Service during the term.

3. Your account

You are responsible for activity on your account, for keeping your credentials confidential, and for maintaining the accuracy of the information you provide. You must be at least 16 years old and use the Service for legitimate business purposes.

4. Your data

You retain all rights to the data you submit to the Service ("Customer Data"). You grant us a limited license to store, process, transmit, and display Customer Data solely to provide the Service. We will not access Customer Data except to provide, secure, or improve the Service, or as required by law. We will maintain reasonable administrative, physical, and technical safeguards designed to protect Customer Data.

5. Acceptable use

You agree not to:

  • Use the Service to store or transmit unlawful, infringing, or harmful content;
  • Probe, scan, or test the vulnerability of the Service or breach any security or authentication measure;
  • Reverse-engineer or attempt to derive source code from the Service, except to the extent expressly permitted by law;
  • Resell, sublicense, or use the Service as a service bureau for third parties; or
  • Interfere with the Service's operation or other users' use.

6. Fees and payment

Paid plans renew automatically until cancelled. Fees are due in advance and non-refundable except where required by law. You may cancel anytime; the cancellation takes effect at the end of the current billing period. We may change prices on 30 days' notice; changes apply at your next renewal.

7. Term and termination

These Terms run until terminated. You may terminate by deleting your account or cancelling your subscription. We may suspend or terminate your access for material breach of these Terms, including non-payment, with notice where reasonable. On termination, your right to use the Service ends. We will make Customer Data available for export for 30 days after termination, after which we may delete it.

8. Confidentiality

Each party will protect the other's non-public information ("Confidential Information") with the same care it gives its own confidential information, and will not disclose it except as needed to perform under these Terms.

9. Warranties and disclaimers

We provide the Service "as is" and disclaim all warranties to the maximum extent permitted by law, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

10. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages. Our aggregate liability arising out of these Terms will not exceed the fees you paid for the Service in the 12 months before the event giving rise to the liability.

11. Indemnification

You agree to defend, indemnify, and hold us harmless from third-party claims arising from your Customer Data, your use of the Service in breach of these Terms, or your violation of law.

12. Governing law and disputes

These Terms are governed by the laws of the State of [STATE], without regard to its conflict-of-laws principles. Any dispute will be brought exclusively in the state or federal courts located in [COUNTY, STATE], and the parties consent to personal jurisdiction there.

13. Changes

We may update these Terms from time to time. Material changes will be notified by email or in-product at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
